By accessing the website, using the MOVA app, participating in campaigns, AirDrops, reward programs, or contracting any MOVA solution, you acknowledge and agree to the terms of this Commercial Policy, as well as our Terms of Use and Privacy Policy.

This Commercial Policy aims to clearly and transparently establish the rules that guide the commercial relationships between MOVA and its users, partners, corporate clients, and other interested parties who use or contract our products, services, and digital solutions.

This Commercial Policy aims to clearly and transparently establish the rules that guide the commercial relations between MOVA and its users, partners, corporate clients, and other interested parties that use or hire our products, services, and digital solutions. By accessing the site, using the MOVA application, participating in campaigns, AirDrops, reward programs, or hiring any MOVA solution, you declare awareness and agreement with the terms of this Commercial Policy, as well as with our Terms of Use and Privacy Policy.

DEFINITIONS

For the purposes of this Commercial Policy, the following are considered:

• MOVA App: mobile and/or web application used by drivers and users to track kilometers, missions, and interactions with the ecosystem.

• MOVA Token: utility digital asset (utility token) used within the MOVA ecosystem for rewards, benefits, access to functionalities, and specific interactions, as described in the official whitepaper.

• MOVA Stations: physical points or integrated partners for charging electric vehicles or services related to mobility.

• End user: individual who uses the MOVA app or participates in campaigns and programs of the platform.

• Corporate client / partner: legal entity that contracts MOVA solutions, integrates its infrastructure, purchases data services, campaigns, activations, or participates in partnership and co-branding programs.

• Official website: domains and subdomains linked to MOVA, such as movaprotocol.com and other official addresses disclosed by the team.

SCOPE OF THIS POLICY

This Commercial Policy applies to:

• Offers, products, and services available on the MOVA website and app.

• Reward programs, AirDrops, token pre-sales, promotional campaigns, and launch actions.

• Corporate contracts for mobility data, technological integration, licensing for the use of technology or brand.

• Business and marketing partnerships established with influencers, companies, exchanges, charging stations, manufacturers, fleet owners, and other players.

Specific rules may be detailed in contracts, additional terms, campaign regulations, or supplementary commercial documents. In case of conflict, the specific conditions agreed upon in writing between MOVA and the other party will prevail.

PRODUCTS AND SERVICES

The MOVA may offer, among other things:

1. MOVA App (beta version, public or official):

• Tracking of kilometers traveled.

• Missions, rankings, gamification, and rewards.

• Integration features with partners (such as charging stations, mobility apps, etc.).

2. MOVA Token (when listed/launched):

• Utility token within the ecosystem, following the technical and tokenomic rules described in the whitepaper.

• Can be used for rewards, benefits, access to features, discounts, limited governance, or other officially defined utilities.

3. MOVA Stations and physical partners:

• Integration with charging stations and mobility and energy solutions.

• Promotional campaigns, cashback, exclusive benefits, or joint programs with partners.

4. Corporate solutions and mobility data:

• Reports, dashboards, mobility indexes (DMI), and other B2B solutions.

• Custom projects, POCs, data licensing (always in compliance with applicable data protection laws).

The availability, scope, and prices of each product/service may vary over time, by region, by phase of the project (beta, pilot, general public), and by type of customer.

COMMERCIAL PRINCIPLES

The commercial performance of MOVA is guided by the following principles:

• Transparency in commercial conditions and in the communication of prices, benefits, and risks.

• No unjustified discrimination between clients in equivalent conditions.

• Regulatory compliance, observing data protection laws, consumer defense, financial regulations, and applicable guidelines for the digital asset market.

• Alignment with the ESG mission, prioritizing a positive impact on mobility, clean energy, and CO₂ neutrality.

PRICES, CURRENCIES AND TAXES

• The values displayed on the website or in commercial proposals may be in Reais (BRL), dollars (USD), other fiat currencies, or in digital assets, depending on the context of the offer.

• MOVA reserves the right to change prices, fees, discounts, and commercial conditions at any time, without prior notice, except when there is already a signed contract or a firmly accepted offer.

• Where applicable, taxes related to the transaction (ISS, service taxes, etc.) may be highlighted on the invoice, contract, or statement.

PAYMENT METHODS

Depending on the product or service, the following may be accepted, among others:

• Payments in fiat currency (PIX, credit card, boleto, bank transfer, etc.).

• Payments in specific digital assets, when previously authorized and informed.

• Hybrid models (fiat + token) for loyalty programs, campaigns, licensing, or B2B services.

Financial transactions may be processed by third-party payment service providers, who will have their own policies and terms.

CAMPAIGNS, PROMOTIONS, AIRDROPS, AND PRE-SALES

The MOVA may perform, periodically:

• Token AirDrops or rewards for app users, early adopters, testers, partner communities, or specific campaigns.

• Token pre-sales with pricing rules, vesting, lock-up, and progressive release, according to official documentation and regulations for each phase.

• Commercial promotions with bonuses, discounts, temporary benefits, or special conditions.

In all cases:

1. Each campaign will have its own regulations, with clear rules for participation, eligibility criteria, deadlines, quantities, limits, and distribution methods.

2. Participation in AirDrops, pre-sales, or promotions does not guarantee any promise of price appreciation, profitability, or certain financial return.

3. MOVA may, at its discretion, suspend, change, or terminate campaigns in case of fraud, abuse, technical issues, or force majeure, in compliance with applicable law.

TOKEN MOVA – IMPORTANT DECLARATION

The MOVA token is designed as a digital utility asset (utility token) within the MOVA ecosystem.

• It does not, by itself, constitute a credit title, securities, fund quota, share, debenture, or any instrument regulated as securities, unless otherwise provided by competent authorities that may be applicable in the future.

• It does not represent direct equity participation in Mova Mobility Data Ltda. or its subsidiaries, unless a specific regulated and formalized structure is in place.

• The acquisition, use, or receipt of MOVA tokens should not be interpreted as a promise of earnings, guaranteed profitability, profit distribution, or similar.

Any mention of “rewards,” “benefits,” “yield,” or related terms refers to the internal functioning of the platform and does not constitute an investment recommendation.

CORPORATE CONTRACTS AND PARTNERSHIPS

For corporate clients, exchanges, manufacturers, energy companies, fleet operators, condominiums, parking lots, influencers, and other partners:

• The commercial conditions (prices, volumes, exclusivity, deadlines, KPIs, bonuses, revenue sharing, token allocation, etc.) will be defined in a specific contract signed between the parties.

• This Commercial Policy serves as a general guideline and does not replace the clauses negotiated in a formal contract.

• Any granting of brand usage, co-branding or public association with MOVA requires express written authorization.

CANCELLATION, REFUND, AND RIGHT OF WITHDRAWAL

In products and services contracted at a distance by consumers (individuals), the rules provided in the applicable consumer protection legislation will be observed.

• Whenever there is direct payment to MOVA for digital services, plans, subscriptions, or eligible products, the user may request an analysis of cancellation and possible reimbursement, in accordance with the specific regulations of the offer and current legislation.

• For tokens purchased in secondary markets, exchanges, or third-party platforms, the conditions for trading, cancellation, and reimbursement follow the rules of the respective platform, outside the direct control of MOVA.

• Promotional campaigns, bonuses, AirDrops, and free rewards are generally non-refundable, non-convertible into fiat currency, or reversible, unless expressly provided for in the regulations.

INTELLECTUAL PROPERTY

• The MOVA brand, its logo, visual identity, graphic interface, content, texts, images, and communication materials are protected by intellectual property rights.

• It is prohibited to copy, reproduce, commercially exploit, or modify MOVA brands, layouts, graphic materials, or content without prior express authorization.

• Partnerships using the brand, images, or co-branding will require a specific contract.

LIMITATION OF LIABILITY

A MOVA will endeavor to maintain the continuous and safe operation of the site, the application, and the integrations; however:

• It is not responsible for unavailability due to external factors (internet problems, providers, blockchain networks, cyberattacks, force majeure, etc.).

• It does not guarantee any specific financial results resulting from the use of the platform, receipt of tokens, participation in campaigns, or acquisition of services.

• Any financial or investment decisions are the sole responsibility of the user, who should seek independent advice when necessary.
